LLCs

Arizona uses the term “statutory agent” in place of “registered agent” for all entities filed with the ACC. Every domestic and foreign LLC must designate a statutory agent with a physical street address in Arizona, and the Statutory Agent Acceptance form (M002) must accompany each formation or registration filing.

Corporations

Domestic for-profit and professional corporations file Articles of Incorporation, while foreign corporations file an Application for Authority. Both forms contain dedicated statutory agent fields and require the Statutory Agent Acceptance form (M002) to be submitted simultaneously. A Certificate of Disclosure must also accompany domestic Articles of Incorporation.

Nonprofit Corporations

Limited Partnerships

Limited partnerships are filed with the Arizona Secretary of State, which uses the term “agent for service of process” rather than “statutory agent.” The Certificate of Limited Partnership includes a dedicated agent field (section 2). Foreign limited partnerships must register before transacting business in the state.

Limited Liability Limited Partnerships

An Arizona limited partnership already on file may elect LLLP status by filing the LLLP Statement of Qualification. If not yet on file, the same Combined Certificate form used for LLPs applies, with the LLLP designation selected. Foreign LLLPs also use the Statement of Foreign Qualification. Arizona Registered Agent Consent Forms

Arizona requires a statutory agent to sign and file a separate acceptance form with the ACC for every corporation or LLC formation, registration, or agent change filing. The Statutory Agent Acceptance (Form M002) is filed with the ACC alongside the document appointing the agent and is not simply retained internally. The form includes the agent’s name, the entity’s name, and the agent’s signature acknowledging acceptance of the appointment.

For limited partnerships, LLPs, and LLLPs filed with the Secretary of State, there is no separate agent consent form. The agent for service of process is named directly on the Certificate of Limited Partnership, Statement of Qualification, or Foreign Registration form, and no standalone acceptance document is required.

Changing an Arizona Registered Agent or Registered Office (Filed by Entity)

Arizona provides separate Statement of Change forms for LLCs and corporations. The LLC form (L020) covers changes to the principal address or statutory agent. The corporation form (C016) covers changes to the known place of business, principal office address, or statutory agent. Both forms allow the entity to appoint a new agent, change the existing agent’s address, or update the agent’s name. When a new agent is appointed, Form M002 must accompany the filing.

The LLC Articles of Amendment (Form L015) also contains dedicated statutory agent change fields (sections 6 and 7) and may be used as an alternative to the Statement of Change when the agent change accompanies other amendments; however, the filing fee is $25.00.

For partnerships filed with the Secretary of State, changes to the agent for service of process are made by filing an Amendment to Certificate form, available at azsos.gov/media/161, with a fee of $10.00 plus $3.00 per page.

Changing an Arizona Registered Agent’s Own Name or Address (Filed by Agent)

Arizona does not provide a separate form exclusively for agents to change their own name or address. Instead, the existing statutory agent may use the same Statement of Change forms described above (Form L020 for LLCs, Form C016 for corporations) to update their own address or name. When the signing party is the statutory agent rather than an entity officer, the agent must check the appropriate signature box on the form and certify that written notice of the change has been given to the entity.

Because Arizona uses a single form for both entity-filed and agent-filed changes, an agent serving multiple entities must file a separate Statement of Change for each entity. There is no multi-entity batch filing option for agent-initiated address changes.

Registered Agent Resignation and Rejection Forms in Arizona

Arizona provides separate statutory agent resignation forms for LLCs and corporations. There is no standalone rejection-of-appointment form; an agent who has not consented to appointment may simply decline to sign the Statutory Agent Acceptance (Form M002), which will prevent the appointing document from being approved.

The resignation becomes effective on the thirty-first day after the ACC receives the form, or upon appointment of a new statutory agent, whichever occurs first. Before filing, the resigning agent must mail written notice of the resignation to the entity at the address stated on the form.

Transfer and Merger Forms Requiring Registered Agent Information in Arizona

Arizona provides merger forms through both the ACC (for corporations and LLCs) and the Secretary of State (for partnerships). Both forms contain dedicated statutory agent or agent for service of process fields for the surviving entity.

When the surviving entity is a new Arizona corporation or LLC, the ACC Statement of Merger must be accompanied by the applicable Articles of Incorporation or Articles of Organization. When the surviving entity is a new partnership not on file with the Secretary of State, the SOS Statement of Merger must be submitted with the appropriate Certificate of Limited Partnership or Combined Certificate and Statement of Qualification along with its associated filing fees.

Is the registered agent consent form required to be filed with the Arizona Secretary of State?

Arizona requires a Statutory Agent Acceptance (Form M002) to be filed with the Arizona Corporation Commission — not the Secretary of State — for every corporation and LLC formation, foreign registration, agent change, or any other filing that appoints a new statutory agent. Form M002 is a standalone document signed by the agent and submitted alongside the appointing document; it is not simply embedded within the formation or change form. If the M002 is not included with a filing that appoints a new agent, the ACC will reject the entire filing. 

For partnerships filed with the Secretary of State, there is no separate agent consent form. The agent for service of process is named on the Certificate of Limited Partnership or Statement of Qualification, and no standalone acceptance document is required by statute.

What form is used to change a registered agent in Arizona?

For LLCs, the LLC Statement of Change of Principal Address or Statutory Agent (Form L020) is used to change the statutory agent, agent address, or principal address, with a filing fee of $5.00. What is the difference between the entity-filed change form and the agent-filed change form in Arizona?

Arizona does not have separate entity-filed and agent-filed change forms. Both the entity and the statutory agent use the same Statement of Change form (Form L020 for LLCs, Form C016 for corporations). 

The distinction is in who signs the form and what changes are permitted. When an entity officer signs, the form can be used to appoint a new statutory agent, change the agent’s address, or update the entity’s own business address. When the existing statutory agent signs, the agent may change only their own name or address and must certify on the form that written notice of the change was given to the entity. 

Because there is no dedicated multi-entity agent change form, an agent serving many entities must file a separate Statement of Change for each one.

Is there a fee to form a nonprofit corporation in Arizona?

The filing fee for Articles of Incorporation — Nonprofit (Form C011) is $40.00 for regular processing. By comparison, the for-profit Articles of Incorporation (Form C010) costs $60.00. Both filings are also available through the ABC online filing system at a higher online fee ($75.00 for nonprofit and $95.00 for for-profit, per the respective fee schedules), which includes the regular filing fee plus a convenience component. Expedited processing is available for an additional $35.00, next-day service for $100.00, and same-day service for $200.00. What forms are used to register an out-of-state LLC in Arizona?

A foreign LLC must file a Foreign Registration Statement (Form L025) with the Arizona Corporation Commission at a filing fee of $150.00. The form requires designation of a statutory agent with a physical Arizona street address (section 8), and the Statutory Agent Acceptance (Form M002) must accompany the filing. The foreign LLC must also submit a certified copy of its original formation documents (including any amendments) from its home jurisdiction and a certificate of existence dated within 60 days of the application. Form L025 covers foreign LLCs, foreign professional LLCs, and foreign series LLCs. A foreign LLC that fails to register before transacting business in Arizona is subject to a penalty as provided under A.R.S. § 29-3802 and may not maintain a proceeding in any Arizona court until it registers.

What forms are used to form or register a partnership in Arizona?

Partnerships in Arizona are filed with the Secretary of State, not the Arizona Corporation Commission. To form a domestic limited partnership, the Certificate of Limited Partnership must be filed at a fee of $10.00 plus $3.00 per page; this form creates a new entity and includes a dedicated agent for service of process field. 

To elect limited liability partnership status, an existing LP on file submits the Statement of Qualification — LLP at a fee of $3.00 per page, which registers limited liability status rather than creating a new entity; an LP not yet on file instead uses the Combined Certificate of LP & Statement of Qualification at a fee of $10.00 plus $3.00 per page plus a $3.00 statement of qualification fee. The same structure applies for LLLP elections. 

A foreign limited partnership registers with the Foreign Limited Partnership Registration form at a fee of $10.00 plus a $10.00 authority to transact business fee plus $3.00 per page. A foreign LLP files the Statement of Foreign Qualification at a fee of $3.00 plus a $10.00 authority fee plus $3.00 per page; the same form is used by foreign LLLPs. Arizona does not require a separate general partnership filing; general partnerships operate without registration. All partnership forms include an agent for service of process field, and the Secretary of State does not require a separate agent acceptance form.

Can I file Arizona SOS forms online?

The Arizona Corporation Commission offers the Arizona Business Center (ABC) online filing system for corporations and LLCs. ABC supports formation filings, foreign registrations, Statements of Change, agent resignations, annual reports, and most other ACC filings. Users must create a free account to access the system. 

Online filing fees are generally higher than paper filing fees (for example, $85.00 online versus $50.00 by mail for LLC Articles of Organization) because they include a convenience component. ABC accepts Visa and MasterCard. Expedited processing options are available at additional fees: $35.00 for expedited (three to five business days), $100.00 for next-day service, $200.00 for same-day service, and $400.00 for two-hour service. 

The Arizona Secretary of State’s partnership forms may be completed online through the Secretary of State’s website at azsos.gov, though the SOS also accepts paper filings by mail or in person. The Secretary of State offers expedited processing for partnership filings at an additional $25.00.
